These Terms of Service ("Terms") govern your use of our website at peersol.com and any services you engage us to perform. By using our website or instructing us to carry out work, you agree to these Terms.

2. Our Services

Peersol provides professional web development, e-commerce development, and related digital services including but not limited to:

• OpenCart store development, migration, and version upgrades
• Custom extension and plugin development
• Ongoing website maintenance and code fixes
• General web application development
• Automation and workflow integrations

The specific services, deliverables, timelines, and pricing for any engagement are agreed in writing prior to work commencing. Nothing on this website constitutes a binding offer; all work begins only upon written agreement and cleared payment of any agreed deposit.

3. Enquiries and Quotes

Submitting a contact form or calling us does not create a contract. It is an expression of interest. We will respond to your enquiry and, where appropriate, provide a written quote. Quotes are valid for 30 days from the date of issue unless otherwise stated.

We provide fixed-price quotes for defined scopes of work. If the scope changes after work has commenced, we will notify you of any cost or timeline impact before proceeding.

4. Payment Terms

Unless otherwise agreed in writing:

• A deposit of 50% is required before work begins
• The remaining balance is due upon project completion, before final files or access credentials are handed over
• Invoices are payable within 14 days of the invoice date
• Late payments may be subject to interest at 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998

All prices are quoted in GBP and are exclusive of VAT unless stated otherwise. VAT will be applied at the applicable rate where required by law.

5. Intellectual Property and Ownership

Upon receipt of full payment, all intellectual property rights in the final deliverables (code, designs, and assets created by us specifically for your project) transfer to you.

We retain the right to display the work in our portfolio and marketing materials unless you request otherwise in writing prior to project commencement.

Third-party software, themes, extensions, or libraries incorporated into your project remain subject to their respective licences. You are responsible for ensuring you hold appropriate licences for any third-party software you ask us to use or integrate.

6. Your Responsibilities

To allow us to deliver work on time and to the agreed standard, you agree to:

• Provide all required content, assets, credentials, and feedback within agreed timeframes
• Ensure that any content or materials you supply do not infringe third-party intellectual property rights
• Review and approve deliverables promptly; delays on your side may affect timelines and additional costs may apply
• Maintain appropriate backups of your website and data before we carry out any work

7. Warranties and Limitation of Liability

We warrant that we will perform services with reasonable skill and care in accordance with the agreed specification.

We do not warrant or guarantee specific outcomes such as search engine rankings, advertising performance, or sales results. These depend on factors outside our control.

To the maximum extent permitted by law, our total liability to you for any claim arising from or related to our services shall not exceed the total fees paid by you to us in the preceding three months.

We are not liable for indirect, consequential, or incidental losses including loss of profit, loss of data, or business interruption.

Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or any other matter that cannot be excluded by law.

8. Confidentiality

Both parties agree to keep confidential any information shared during the course of a project that is marked as confidential or that would reasonably be understood to be confidential. This obligation does not apply to information that is already publicly known or that is required to be disclosed by law.

9. Termination

Either party may terminate an engagement by giving 14 days written notice. In the event of termination:

• You will pay for all work completed up to the date of termination
• We will provide you with all completed work and assets created up to that point

We reserve the right to suspend or terminate services immediately if payment is not received by the due date or if you breach these Terms.

10. Website Use

You may use our website for lawful purposes only. You must not use our website in any way that causes, or may cause, damage to the website or impairment of its availability, or in any way that is unlawful, fraudulent, or harmful.

We reserve the right to modify or discontinue any part of our website at any time without notice.

11. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to These Terms

We may update these Terms from time to time. The date at the top of this page reflects when they were last revised. Continued use of our website or engagement of our services after changes are posted constitutes acceptance of the revised Terms.
